Four partners – Wang Guan and Wang Dunping in Beijing, Jason Zhang in Shanghai, and Xia Hailong in Guangzhou – have joined Zhong Lun Law Firm, lifting the capital markets, investment, M&A, and dispute resolution businesses.

Wang Guan, formerly a partner at Grandway Law Offices and V&T Law Firm, has been deeply engaged in the capital markets, investment and M&A sectors for more than 20 years. His clients mainly operate in the telecommunications, biomedical, high-end equipment and military sectors.

In 2020, Wang Guan acted as the PRC lead counsel for the Shanghai RAAS in the RMB13.24 billion (USD1.83 billion) share swap with Europe’s largest plasma products company, Grifols. The transaction was selected as one of the Deals of the Year by China Business Law Journal.

Wang Dunping, previously a partner at Zhonglun W&D Law Firm, specialises in private equity and investment funds, particularly in matters relating to industrial guidance funds, listed company M&A funds, S funds, fund of funds, qualified foreign limited partnership funds, insurance premium funds, and film and television funds.

Previously, Wang Dunping has been entrusted by China’s private equity regulators to conduct on-site inspections of more than 100 private equity fund managers in Beijing. Additionally, he has also handled many investment and M&A, corporate governance, and dispute resolution matters.

Zhang, formerly a senior partner at AllBright Law Firm, served as a trial judge at the Nantong Intermediate People’s Court in Jiangsu province before shifting to a role as an external lawyer. This experience equips him with an in-depth understanding of financial and commercial dispute resolution in banking, securities, fund management, financial leasing, commercial factoring, and equity matters.

He has handled Anhui Zhengqi Financial Leasing Company’s lawsuit against Gaizhou City Bohai Hospital and other loan contract disputes. It was selected as one of the first batch of exemplary financial judgment cases in the Yangtze River Delta in 2022, jointly sponsored by the Shanghai Financial Court and the intermediate people’s courts in Nanjing, Hangzhou, Hefei and Suzhou.

Xia who commenced his career as a judge in Guangzhou before practising law at King & Wood Mallesons and Zhuoxin Law Firm, specialises in civil and commercial dispute resolution. His expertise lies in handling specialised matters such as equity and control disputes, denial of corporate personality, shareholders’ rights to information, corporate deadlocks and dissolutions, trusts, asset management, insolvency liquidation, and reorganisation.
