Quartet advises first HK rights issue under China’s new rules

Baker McKenzie, Zhong Lun Law Firm, Linklaters and JunHe advised on Hong Kong-listed Yuexiu Property’s HKD8.36 billion (USD1.07 billion) rights issue in the first debut of its kind in Hong Kong since China’s new overseas offering rules took effect in March.

The proceeds would be used to support projects within the Greater Bay Area, core cities in East China, and other important provincial capital cities.

Baker McKenzie, led by Hong Kong-based private equity and M&A partner Dorothea Koo and Beijing-based capital markets partner Wang Hang, acted as Hong Kong legal counsel to Yuexiu Property.

Zhong Lun’s partners Li Na and Yu Hongbin advised Yuexiu Property on PRC law, with support from Hong Kong-based partner Jaycen Liao.

Linklaters acted as overseas legal adviser to the joint underwriters CLSA, Goldman Sachs, Morgan Stanley, DBS and CICC, while JunHe’s partner Zhang Ping and counsel Joyce Chen led the team advising on PRC law. JunHe also received support from partners Alice Xiong and Huang Wei.
