Khaitan & Co advised Britannia Industries on its joint venture agreement with French cheese maker Bel. Bel was advised by Dua Associates and will acquire a 49% stake in Britannia Dairy Private Limited (BDPL).
The core team representing Khaitan & Co included senior partner Haigreve Khaitan, partner Vineet Shingal, principal associate Rohan Shrivastava, senior associate Pritali Patil and associates Virali Nagda, Bimbita Kateel and Vivek Badkur.
The firm advised Britannia Industries on: drafting, reviewing and finalising the JV agreement, the share purchase agreement, the share subscription agreement, the shared services agreement, the distribution agreement, the transfer pricing agreement, and the asset purchase agreement.
Dua Associates was represented by partners Salil Gulati, Shailendra Singh Somvanshi and Sahil Dhawan, who were supported by a team of associates. Dua Associates has been working for Bel Group since 2017 and has acted as their legal advisors during its journey in India ever since.
Dua Associates handled the legal aspects of the deal including the conduct of due diligence exercise, drafting, negotiation and finalisation of various transaction documents, and advised the Bel Group on various legal aspects including foreign investment, regulatory, intellectual property rights and operational issues.
The JV company, BDPL, will undertake development, manufacturing, marketing, distribution, trading and selling, among other services, of cheese products in India and other countries.
