Baker McKenzie (Gaikokuho Joint Enterprise), the global law firm’s Japanese arm, has advised Tokyo-headquartered Mitsui Chemicals on its USD900 million acquisition of US-based dental supply and manufacturing company Ultradent Products.
Mitsui Chemicals America, a US subsidiary of Mitsui Chemicals, will acquire the shares and business assets of Ultradent through a newly created holding company, making it a wholly owned subsidiary. Ultradent produces high-tech dental materials, devices and instruments, and is known for its teeth whitening brand Opalescence.
Baker McKenzie provided comprehensive legal support with partner Kiyoshi Endo leading the team. Partner Seiji Tomimoto along with associates Ayaka Iwamoto, Soichiro Goto, Naruhiko Yamada and Satoshi Ishii provided support.
The acquisition is expected to strengthen Mitsui Chemicals’ presence in life and healthcare solutions – a segment the company has been expanding through M&A and partnerships.
The transaction is expected to close in September 2026, subject to customary adjustments and closing conditions, including regulatory approvals under applicable competition laws.
