On 15 April the Shanghai Stock Exchange (SSE) issued a revised version of the Shanghai Stock Exchange Secretaries to the Boards of Directors of Listed Companies Administrative Measures (Shang Zheng [2011] No. 12). The new Administrative Measures combine the regulations of the original Shanghai Stock Exchange Qualifications of Secretaries to the Boards of Directors of Listed Companies Administrative Measures and the Shanghai Stock Exchange Performance Evaluation of Secretaries to the Boards of Directors of Listed Companies Measures. The new administrative measures came into effect on the date of promulgation.

Legal status

The secretary to the board of directors of a listed company is a senior member of the management of the company, answering to its board of directors.

The secretary to the board of directors of a listed company is the designated contact person between the listed company and the SSE. The SSE only permits the secretary to the board of directors or somebody acting on his or her behalf to handle disclosures of information in the name of the listed company, corporate governance, the management of equity-related matters and other matters within the scope of their related responsibilities.
