The Ministry of Corporate Affairs (MCA) announced a significant relief for limited liability partnerships (LLPs) by extending the deadline and waiving additional fees for the filing of two crucial forms under the Limited Liability Partnership Act, 2008.

The forms in question are LLP BEN-2 and LLP Form No. 4D, which hold significance for compliance and reporting requirements.

LLP BEN-2 is used for filing returns to the registrar regarding declarations under section 90 of the Companies Act, 2013, while LLP Form No. 4D is for declarations of beneficial interest in contributions received by the LLP.

This decision comes in the wake of the MCA’s notification of the Limited Liability Partnership (Significant Beneficial Owners) Rules, 2023, and the Limited Liability Partnership (Third Amendment) Rules, 2023. These rules, introduced in November and October 2023, respectively, mandated the use of these forms for compliance purposes.

The extension of the deadline until 15 May 2024, without any additional fees, is aimed at facilitating smoother compliance for LLPs, especially during the transition of the MCA21 online system from version 2 to 3. The forms will be made available in version 3, starting 15 April.
