Lee & Ko is the sole legal adviser on a proposed merger between South Korean logistics and courier service provider Logen and electronic components developer Moda-InnoChips.
“As an external legal adviser, Lee & Ko issued an opinion on whether the merger aligned with the directors’ fiduciary duties to shareholders, mandated by the amended Commercial Act,” Jun Taek Lee, the lead partner for the Lee & Ko team, told Asia Business Law Journal.
Announced on 9 March 2026, the merger was originally scheduled to take place on 1 July 2026. However, Lee said the Financial Supervisory Service requested that both companies disclose in their securities registration statements whether they had implemented the recommended measures under the Ministry of Justice’s guidelines on directors’ code of conduct during corporate reorganisations.
In response, the companies submitted an amended registration statement addressing these requirements, Lee said.
The Lee & Ko team comprised partners Lee and Yi Jun Chang, as well as associates Jeyoun Moon and Seong Ik Kang.
The general meeting of shareholders to approve the merger is scheduled for 18 September 2026, with the effective merger date slated for 2 November 2026.
Logen and Moda-InnoChips are both listed on the Kosdaq market. As of 31 March 2026, Logen’s total assets were valued at KRW999 billion (USD673 million), while Moda-InnoChips’ amounted to KRW1.03 trillion.
