Assegaf Hamzah & Partners has advised Indosat Ooredoo Hutchison and Aplikanusa Lintasarta on establishing Infra Fiber Teknologi (IFT) that will operate a fibre optic network spanning around 86,000 kilometres.
The transaction involved the divestment of certain fibre optic network assets to IFT, alongside the formation of a strategic partnership with Arsari Group via Nusantara Fiber Teknologi (NFT).
IFT is a fibre infrastructure company wholly owned by NFT, a joint venture between Indosat, Lintasarta and Arsari Group. Indosat and Lintasarta together hold a 49.9% stake in NFT, which fully owns IFT.
The fibre optic network includes national backbone infrastructure, domestic submarine cable systems and access networks that will encompass multiple regions in Indonesia. In connection with the transaction, the Indosat Group received around IDR11.7 trillion (USD644 million).
Assegaf Hamzah & Partners advised on all M&A aspects, including creating the joint venture, divesting the fibre optic network assets, structuring of the transaction, documentation and regulatory matters.
The team was led by partners Eko Basyuni, co-head of corporate and M&A, Zacky Husein, head of technology, media and telecommunications, Rikrik Rizkiyana, co-head of competition, antitrust, consumer and trade, Mita Kartohadiprodjo, Renaldi Zulkarnain and Derry Patradewa, along with of counsel I Ketut Prihadi Kresna Murti.
The firm said the partnership was expected to boost fibre infrastructure development and strengthen digital connectivity across Indonesia, in line with rising demand for high-quality broadband services and continued growth of the jurisdiction’s digital economy.
