Dentons HPRP has advised Indoedge Real Estate and Data Centre on the development of a large-scale data centre project in Indonesia with an estimated value of up to USD5 billion.

The firm said the current phase of the mandate centred on acquiring land for the development project and preparing the necessary operational agreements.

Dentons HPRP acted as lead Indonesian counsel across all legal aspects. The team was led by partner Trijoyo Ariwibowo, who had support from associates Hilwa Az Zahra Adwani, Gregorius Alisander Ponglapik, Anissa Astarina, Pradit Soebroto and Azizah Nadhira.

The firm advised on land acquisition and power supply matters, including the procurement of electricity from Perusahaan Listrik Negara and the negotiation of power supply arrangements. It also provided advice on water supply arrangements to support the data centre’s operations.

In addition, Dentons HPRP advised on corporate and regulatory matters, which Ariwibowo said included “providing general corporate and regulatory advice in connection with the establishment and operation of the data centre business in Indonesia”.

He said there were several hurdles to overcome. “The transaction involved both industrial and commercial land, and required the development of a tailored acquisition structure to address zoning and ownership considerations. Significant negotiations were undertaken to align the parties’ commercial objectives and manage regulatory risks,” Ariwibowo said.
