China Commercial Law Firm has recruited Luo Shazhou and Ji Zhe as partners at its Shanghai office, bolstering the capital markets practice.

Before joining China Commercial, Luo practised at Llinks Law Offices from 2015 and was promoted as contractual partner in 2023. Prior to entering private practice, she worked in compliance roles at Lufax, the online investment and financing platform under Ping An Insurance.

Qualified in both the US and China, Luo’s practice covers IPOs, refinancing, M&A and restructurings, private equity investments and financing, corporate tax planning and overseas expansion. She has led or participated in IPO projects for numerous companies on the SZSE ChiNext Market, the SSE Star Market, the Bombay Stock Exchange and the HKEX.

Luo is particularly experienced in advising high-end manufacturing companies, technology and innovation enterprises and private equity investment institutions. She also provides legal counsel services to Chinese mainland-listed companies and large state-owned enterprise groups on a retainer basis.

Ji focuses on IPO listings and has long advised listed companies, prospective listing candidates and investment institutions on a retainer basis. He has also assisted businesses in managing legal risks arising from their operations.

He provides legal and compliance solutions for Web3 project structuring, real-world asset overseas expansion, licence applications and project financing. Ji is also experienced in handling cryptocurrency related criminal cases and civil disputes.

He began practising at Shanghai-based GF Law Firm in 2022 and became a partner at another local firm, Gexuan Law Firm, in 2025.
