Advokatfirman Vinge, DLA Piper, Gernandt & Danielsson, and Cleary Gottlieb Steen & Hamilton are advising on Asahi Kasei’s USD1.1 billion offer to acquire Calliditas Therapeutics.

Tokyo’s Asahi Kasei has made the offer to acquire all shares of the Swedish pharmaceutical company and make it a wholly owned subsidiary.

Gernandt & Danielsson and Cleary are serving as the legal advisers to Asahi Kasei. Cleary’s team was led by partner Kim Spoerri, with partners Adam Brenneman and Benet O’Reilly.

Advokatfirman Vinge (Swedish counsel) and DLA Piper (international counsel) are legal advisers for Calliditas.

The offer includes acquiring all American depositary shares, each representing two shares in Calliditas, which will be conducted under the securities rules of the US.

The acceptance period of the offer is expected to commence around 18 July and expire around 30 August, subject to extensions.
