China’s CTI buys Singapore’s Ugene Laboratory Services

Shook Lin & Bok and BR Law Corporation have advised on Centre Testing International Group’s (CTI) 100% acquisition of Ugene Laboratory Services for an undisclosed amount.

CTI operates as an independent provider of testing, inspection and certification (TIC) services and was the first company in China’s TIC sector to be publicly listed. Ugene Laboratory Services, headquartered in Singapore, is a third-party laboratory specialising in testing across sectors such as food, animal feed, water, and health and wellness.

Shook Lin & Bok advised CTI on the transaction, with the team led by Guo Xiaofei, head of the firm’s China practice, and partner Quek Hao Zhi. Foreign legal counsel Shun Zhou and trainee Wei Fan Tan provided support.

The firm said that as demand for testing and certification services in the food trade continued to grow across Southeast Asia, the acquisition marked a key step in CTI’s international expansion strategy. The transaction was also expected to strengthen CTI’s localised service capabilities in the region and create new opportunities for growth through the integration of Ugene Laboratory Services’ operations in Singapore and neighbouring markets.

BR Law Corporation represented the shareholders of Ugene Laboratory Services as vendors in the divestment of their entire shareholding to CTI. The deal team comprised director Ponnampalam Sivakumar and associate director Dillion Chua.
