Khaitan & Co, Foley & Lardner and Cyril Amarchand Mangaldas (CAM) advised on Indian private equity firm True North’s USD75 million acquisition of a minority interest in both iLink Multitech Solutions and iLink Systems.

True North sought transaction advice from Khaitan & Co, while Foley & Lardner acted as international legal counsel.

Khaitan’s core transaction team consisted of partners Niren Patel and Shreya Mukherjee, and associate Aman Bagaria with assistance from the documentation, restructuring, antitrust and due diligence teams. Khaitan advised on the optimal structuring, conducted thorough legal due diligence of the target companies, as well as the drafting, negotiation and finalisation of various transactional documents. This included overseeing the fulfilment of requisite conditions precedent, culminating in the successful completion of the transaction.

CAM’s general corporate practice advised on the transaction and the setting up of a private trust for the promoter group. Partners Amarta Roy and Vishwanath Pratap Singh led the transaction team along with principal associate Aatmin Shah, senior associate Nikhil Variyar, and associates Radhika Shukla, Mishika Ravishankar and Aashna Lakhotia.

Lincoln International was the investment banker for the iLink Group while Taft Law provided international legal counsel.
