Skadden advised Bank of America Securities, Morgan Stanley and Mizuho Securities USA as the joint bookrunners and lead managers in a USD1.35 billion offering of senior notes by Renesas Electronics, a Japanese semiconductor manufacturer.

Renesas intends to use the net proceeds from the sale of the green notes to finance or refinance existing and future environmental projects. This is the company’s first issuance of foreign currency-denominated bonds. The offering closed on 26 November.

The US dollar-denominated notes were offered in aggregate principal amounts in two tranches of USD500 million of 1.543% senior green notes due 26 November 2024, and USD850 million of 2.170% senior notes due 25 November 2026. The notes were listed on the Singapore Stock Exchange.
