Cooley, Orrick advise on Freshworks IPO

Cooley advised software-as-a-service (SaaS) company Freshworks on its recent USD1.13 billion IPO, while Orrick Herrington & Sutcliffe advised the underwriters to the issue.

Freshworks began trading on the Nasdaq on 22 September.

Cooley’s team was led by its Palo Alto-based partners Jon Avina, Dave Segre and Calise Cheng, and included associate Sepideh Mousakhani.

Orrick’s team was led by its San Francisco-based partners Bill Hughes and Niki Fang, and included partners Richard Martinelli, Harry Clark, Shannon Yavorsky and JT Ho, senior associates Tyler Miller and Ken Marx, managing associate Taylor Ball, associates Jimmy Frost and Anika Nayyar, and economist and compliance specialist Greg Hume.

Freshworks is the first Indian SaaS company to list on the Nasdaq. Its headquarters is in California, but Freshworks was founded in Chennai and a substantial portion of its operations and employees are located in India.

The company said the offering of 28.5 million shares of class A common stock would increase its capitalisation and financial flexibility, and create a public market for its class A common stock.
