Introduction

Eric Zou is a partner at Jingtian & Gongcheng, with a Master’s degree from Peking University Law School. He is a veteran in the field of investment funds/asset management, with more than 10 years’ working experience representing many private/retail fund managers, securities firms, insurance asset management institutions, commercial banks, wealth management subsidiaries, etc., in their formation of hundreds of funds/asset management products (including QDII funds). He has provided legal services for pension products and insurance fund investments, and advised custodians and fund service providers (e.g., fund distributors and fund administrators) on their business operations.

Zou has represented many clients in their establishment of such financial institutions as retail fund managers and securities firms, equity transfer and corporate governance. He has represented private fund managers, including wholly foreign owned enterprise (WFOE) private fund managers, in their registration with the Asset Management Association of China (AMAC), and provided legal services to many global financial institutions and hedge fund managers for their cross-border business, including but not limited to WFOE/JV establishment, overseas investment of insurance funds, QFII/RQFII, QDII/QDLP/QDIE, mutual recognition of funds, and other connect schemes between mainland China and Hong Kong.

Zou has handled many innovative and cutting-edge projects, including the first foreign-controlled retail fund manager, one of the first contractual QDLP funds, three of the first  QDIE funds, several deals involving the first  QFII/RQFIIs investing in private funds and participating in margin trading and short selling, and one of the first QDLP licence holders in Beijing.

Zou has participated in many legislative surveys, research projects, seminars and other activities organised by China Securities Regulatory Commission, AMAC, the Asia Securities Industry and Financial Markets Association, the Alternative Investment Management Association, and the Global Asset Management Association of Lujiazui.
