Introduction

Spring Zhang is a senior partner and one of the heads of the capital markets group of Brightstone Lawyers. She focuses on domestic and overseas securities issuance and listing, mergers and acquisitions, private equity investments and financial institution services.

Zhang has more than 20 years of practical experience in capital markets legal services. She has been successfully in charge of a number of major domestic and overseas listing projects, as well as many influential M&A projects. Her practices cover A and H share listings, red chip listings, full listing and demerger listing, privatisation and delisting, reverse mergers, acquisition of controlling ownership of listed companies, etc. Relying on her extensive practical experience in investment exit activities (including but not limited to IPOs and M&As), Zhang provides investors with more forward-looking and targeted legal services in pre-IPO equity financing.

Zhang has extensive listing experience in the fields of healthcare, consumer, automotive and energy, advising on numerous Chinese enterprises’ domestic and overseas listing projects.

Zhang also specialises in the preparation, change and acquisition of financial institutions such as securities companies, banks and asset management companies. By providing innovative legal services, she has successfully assisted clients to obtain the pilot qualification of the first batch of private joint-stock commercial banks in China, and complete the preparation and establishment of private commercial banks. Zhang has advised clients on the acquisition and setup of Sino-foreign joint venture securities companies as well.
