Introduction

Zhao Tingkai is a senior partner of Hai Run Law Firm (HRTR). He is a commercial lawyer with rich experience in China, and more than 20 years of practice experience. He is a lawyer in the Beijing Foreign Lawyer Talent Pool, assessed by the Beijing Lawyers Association.

Zhao obtained a Bachelor’s degree in economics and a Master’s degree in business administration. He has qualifications in the securities and fund industry, and independent director qualifications of listed companies. In 2018, he was named the Outstanding Director of the Year in the 7th China Star Board of Directors Media Awards, and he is a co-operating lawyer of BDO International in China.

Zhao is a partner in the corporate and securities group and chair of the international business department of HRTR, and his rich experience is part of the reason why clients rely on his counsel. He focuses his practice on domestic and foreign securities markets and the representation of companies in securities transactions, including: Enterprise restricting, pre-listing tutoring, pre-IPO private placement, domestic IPOs, overseas listings, corporate bond, enterprise bond, short-term commercial paper, exchangeable bond, offerings of debt and equity securities, M&A and significant asset restructuring of listed company, registration and significant changes registration of private equity fund manager, as well as mergers and acquisitions and other strategic transactions.

In particular, Zhao has considerable experience advising public companies in connection with capital markets transactions, including offerings of both debt and equity. His practice also includes handling general corporate matters for private companies, including advice on corporate governance and financing issues. He is also good at settling commercial cases and litigation; a bank credit case he settled was published in the Gazette of People’s Court as a typical case by the Supreme People’s Court.

Zhao has served as legal counsel for more than 30 listed companies and other enterprises. He is often invited to teach about corporate listing and capital operation, and has received wide acclaim and unanimous consent from within and outside the field.
