CAM counsels V-Guard on Sunflame acquisition

Cyril Amarchand Mangaldas (CAM) advised V-Guard Industries on the proposed acquisition of 100% in Sunflame Enterprises for INR6.6 billion (USD79 million) on a cash-free and debt-free basis.

The firm’s general corporate practice advised on the transaction with Akila Agrawal, partner and head of mergers and acquisitions leading the deal. She was supported by partner Navin Kumar, and associates Ashlesha Mittal, Abhishek Ganguly and Aryan Vij.

Partner Pallavi Rao provided intellectual property advice, with support from principal associate designate Shatrajit Banerji.

Employment law advisory and due diligence was led by partner Richa Mohanty Rao, with support from senior associate Mansi Mantoo and associate Kartik Adlakha.

Partner Vijay Pratap Singh provided competition law advice.

V-Guard’s legal head Roopak Ahluwalia led the company’s in-house legal team.

Other parties and advisers to the transaction included Singhi Advisors (transaction adviser for V-Guard) and Deloitte Touche Tohmatsu India (financial adviser for V-Guard).

The transaction was signed on 9 December 2022, and closure of the deal is subject to the completion of customary conditions.

V-Guard is a major consumer electrical and electronics company in India, While Sunflame is a significant player in the domestic kitchen appliances segment.
