Introduction

Weiheng Chen is partner at Wilson Sonsini Goodrich & Rosati (WSGR), where he heads the firm’s Greater China practice. His practice focuses on cross-border mergers and acquisitions, private equity and capital markets transactions in Greater China. He has represented clients in connection with some of the largest and most significant M&A and capital market deals in a variety of industries, including technology, media and telecom, healthcare, consumer and financial institutions. Chen has also worked on a large number of private equity and venture capital investments, going-private and restructuring transactions in China, involving private equity and venture capital firms and multinational corporations. In addition, he has advised on many high-profile securities offerings, including Hong Kong IPOs and SEHK listings, as well as US public offerings and NYSE/Nasdaq listings.

Among the selective clients and others Chen has represented are: (i) Boyu Capital, Centurium Capital, L Catterton, Sequoia Capital, Silver Lake, Warburg Pincus, and other private equity and growth capital funds in their investment and exit transactions in China; (ii) technology and healthcare companies like Tencent, DJI International and WuXi Pharma in various investment and financing matters; (iii) buyers or sellers on going-private or taking-private M&A transactions involving US or HK-listed companies, such as iKang Healthcare, Dongpeng Holdings, WuXi PharmaTech, OmniVision Technologies, Integrated Silicon Solution, Shanda Games, Giant Interactive, and RDA Microelectronics. He has also advised on the Hong Kong IPOs of WuXi Biologics, Rici Healthcare, Universal Medical, PW MedTech, Dongpeng Holdings, Alibaba.com, Bank of China, and China Shenhua Energy; and US public offerings of X Financial, Opera, Puxin Education, Bright Scholar, China Biologic Products, Autohome, China Nepstar Chain Drugstore, and Mindray Medical.

Chen graduated from Peking University Law School and Harvard Law School and is qualified in New York State and Hong Kong. He has been designated as one of the “World’s Leading Private Equity Lawyers” and IFLR1000 notable practitioners by IFLR/Euromoney.
