Zhang Yun

Introduction

Zhang Yun is a partner at Merits & Tree Law Offices. Before joining Merits & Tree, Zhang worked for TransAsia Lawyers and JunHe Law Offices from 2006 to 2013. During this period, Zhang specialised in investment and financing business, and was deeply involved in investment and financing projects at different stages and rounds. Zhang represented several top-tier private equity funds for their investments in China. She represented several pioneer entrepreneurs in completing their financing from private equity funds, providing legal services such as the design of transaction structure, due diligence, review, and negotiation of transaction documents. Zhang also offered professional legal services for several overseas internet companies on business landings and their license applications in China.

Zhang then worked at a private equity fund and a listed company for more than six years. While working for the private equity fund, Zhang was fully involved in fundraising, investment, management, and withdrawal. While working for the listed company, she was mainly in charge of the post-investment management for the portfolio, including assisting the portfolio in establishing a corporate governance structure, building the reporting and analysis system of business data, and structuring the ecological cooperation circle of the portfolio.

Zhang also worked as the legal head in the M&A platform of a pioneering PE fund, responsible for the M&A and post-investment management legal affairs for its portfolio. Her work led to the rapid growth of the market size of the M&A platform to become the industry leader within two years. She was also responsible for providing guidance on the compliance operations of various legal entities under the M&A platform and assisting the platform in establishing internal institutional systems.

From her comprehensive experience working in law firms, private equity funds and listed companies, Zhang has a better understanding of internal risk control and external compliance requirements during enterprise operations, and a deeper understanding of potential risks in investment projects. This enables her to provide clients with more practical solutions, and to assist them in executing the corresponding solutions effectively.
