Liu Siyuan

Introduction

Liu Siyuan joined Jingtian & Gongcheng as a partner in 2017 and specialises in securities compliance, securities litigation, administrative investigation, as well as commercial litigation and arbitration.

Her team offers comprehensive legal services in securities compliance, including establishing compliance systems and conducting compliance evaluations, representing securities-fraud civil litigation, administrative investigation and enforcement, and criminal defence. Liu has handled milestone cases including:

• CITIC Securities’ escape from criminal liabilities regarding CITADEL’s securities margin trading
• Everbright Securities’ fat finger case concerning insider trading
• Kangdexin’s financial fraud administrative, civil, and criminal litigation
• Hengkang Medical Group’s market manipulation
• Leshi’s non-public offering sponsor in its securities fraud litigation.

In addition, Liu demonstrates expertise in corporate disputes, including corporate control, valuation adjustment mechanisms (VAM), and other investment-related litigation.

Liu is actively involved in legislation and academic events. She serves as director of the Case Law Board of China Law Society, as director of Beijing Law Society Economic Law, as a member of the law amendment workgroup organised by the Ministry of Finance of PRC, as a mediator in an investor protection institution, and as a columnist for Caixin. She has also provided professional advice in legislation events and published multiple academic treatises.

Liu was recommended by Chambers Greater China Region Guide 2023 in securities: litigation; ranked as a first-tier lawyer in the securities compliance and litigation area by Dawkins in 2022; recommended in the compliance area by LegalBand from 2018 to 2023, listed as “client choice: top 15 rising partners” in 2021; and recommended by Benchmark Litigation in the government and regulatory area both in the China band and Asia-Pacific band from 2021 to 2023, and in the international arbitration in the China band in 2022 and 2023.

Her representative cases, the CITIC Securities case and Founder Securities’s securities-fraud litigation, were respectively awarded as the deals of the year 2018 and 2019 by China Business Law Journal.

Ms. Liu attained both her bachelor and master’s degrees from Tsinghua University. She is currently enrolled in the 39th executive MBA program at Cheung Kong Graduate School of Business.
