Introduction
Darren Liang is a co-founder of Shihui Partners’ Shanghai office. He specialises in capital markets, restructuring, M&A and PE/VC legal services, with extensive experience in a wide range of industries, including integrated circuits and semiconductors, life sciences and healthcare, new energy resources, intelligent manufacturing, software as a service, high technology and consumer products.
Liang was named among ALB China’s 2022 Top 15 Rising Lawyers in Yangtze River Delta by Asian Legal Business China; the A-List for China’s elite 100 lawyers by China Business Law Journal, “Under 40: Top 20 New Economy Lawyers”, “Client Choice: Top 15 Rising Partners” and “2016 Legalband China 30 under 30” by Legalband; Jiemian 2022 Best Lawyers: Rising Lawyers by Jiemian News; and Top Ranked Lawyers for capital markets by Legalband and Dawkins. He is qualified as an independent director of an A-share listed company.
Liang holds a Bachelor of Science degree in microelectronics and a Master of Laws degree from Fudan University. Before joining Shihui, he worked at Han Kun Law Offices and Llinks Law Offices.
Liang has outstanding expertise in advising clients on complex transactions involving unique structures and contractual arrangements designed to meet the legal requirements of the public market. His list of landmark transactions includes representing the issuer in the IPO of MicroPort EP on the Star Market of the Shanghai Stock Exchange, with MicroPort EP being the first medical device company to be approved for listing on the Star Market by meeting the Fifth Set of Listing Criteria, and representing JD Logistics in its acquisition of Deppon Logistics, a notable public market M&A transaction of RMB10 billion (USD1.4 billion), by far the largest acquisition in the express industry and the largest acquisition of an A-share listed company in the logistics industry in China. He also represented ZZ Capital International in its acquisition of Kingwisoft Technology, which was selected by China Bridge as one of the Top 10 M&A Deals in China of 2020, and represented BesTV in its merger with Oriental Pearl through the absorption and acquisition of targets in various industries with financing of RMB10 billion.
