Introduction

Chen Sheng obtained dual bachelor’s degrees in law and e-commerce from Peking University and was admitted to practice law in the PRC in 2002. And he is currently a senior partner at Tian Yuan Law Firm.

Chen has been dedicating himself to several practice areas, including but not limited to finance and asset management, private equity and investment funds, corporate and M&A and asset securitization. With his profound experience, Chen is expert in designing investment and financing transaction structure, guarantee and credit enhancement arrangement and tax-planning arrangement, especially those related to satisfy the special legal and compliance requirement of state-owned enterprises. For his ability to provide innovative, concise and cost-efficient solutions to complicated legal problems, Chen is highly praised by his clients and has established a long-term relationships with a number of financial institutions, state-owned enterprises, collective enterprises and private enterprises in different industries, including but not limited to finance, real estate and construction engineering, energy and infrastructure, environmental protection and clean energy, manufacturing and mining, medicine and health, internet and software, media, tourism.

Chen’s major deal experience includes: (i) representing and providing services to several state-owned fund management companies, including but not limited to those belong to SDIC, China Development Bank, I&G, Shandong Hi-speed Group, CCI Group and Tsinghua Unigroup, in a large number of fund formation and equity investment and exit cases; (ii) providing legal services to several trust companies, such as CITIC Trust and China Everbright Trust; (iii) providing legal services to Orient Assets and I&G in serval disposal and restructuring of non-performing assets cases; (iv) providing legal services for dozens of investment and M&A in the energy and infrastructure and clean energy industries to SDIC Power and Huaneng Group; (v) participating in several ABS, ABN and CMBN cases, among which, the ABN of Sail Group, the first independent subject credit and long-term CMBN project in China, won several annual outstanding transaction awards.
