
Introduction
James Zhang heads Shihui Partners’ capital markets practice. He specialises in capital markets, restructuring, M&A and PE/VC, covering industries such as telecoms, media, high-tech, healthcare, fast-moving consumer goods, logistics, finance, insurance, environment, real estate, shipping, energy, mining and manufacturing.
Zhang has extensive experience in capital markets-related investment and financing, providing legal services to various state-owned, large-scale private and emerging companies, and advising on numerous high-profile capital markets transactions. Many of his projects have set industry benchmarks, such as COSCO Shipping’s acquisition of Orient Overseas (International) for HKD49.2 billion (USD6.32 billion), the RMB33.8 billion (USD4.78 billion) A+H share issuance of China Merchants Bank, the spin-off and listing of Hutchison Whampoa’s real estate business, and the merger of China CNR Corporation and China CSR Corporation. These transactions were shortlisted for Equity Deal of the Year awards in their respective years.
Zhang enjoys significant market recognition in domestic and overseas listing matters. In domestic listings, he has advised on groundbreaking IPOs, including Hillstone Networks and MicroPort. In overseas listings, he has led high-profile projects with complex transaction structures and market-leading issuance sizes, such as the IPO of JD Group, JD Health, JD Logistics, Goodme (古茗茶饮), and ZG Group (找钢集团). The IPO of JD Industrial, which he led, was the first overseas listing project accepted by the China Securities Regulatory Commission (CSRC) following the implementation of the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Companies. His team has filed numerous overseas securities offering and listing projects with the CSRC and has developed extensive experience in communicating with regulatory authorities.
