Indochine Counsel has advised data technology Vietnam FiinGroup Joint Stock Company on its strategic investment in, and partnership with, Goline Financial Technology Corporation for an undisclosed amount.
The Vietnamese law firm provided legal counsel throughout the transaction, with managing partner Dang The Duc leading the team, alongside managing associate Le Mai Phuong, associates Ngo Dang Loc and Trinh Ngoc Ly, and junior associate Tran Minh Phuong.
“We advised FiinGroup on the structuring and implementation of the investment and strategic partnership in compliance with Vietnam’s corporate and investment regulations. Our work included governance arrangements, intellectual property and technology-related matters, transaction documentation, as well as regulatory considerations relating to financial data, cybersecurity, data governance and competition law,” Dang told Asia Business Law Journal.
“Given the nature of the businesses involved, particular attention was paid to establishing a framework that supports long-term collaboration while ensuring compliance, operational independence and protection of proprietary assets.”
Dang added that one of the main challenges was ensuring the right type of governance framework was in place.
“From a transaction perspective, the key challenges were less about the investment itself and more about establishing an appropriate governance framework, protecting technology and intellectual property assets, ensuring data governance standards, and creating a structure that supports long-term strategic collaboration between the parties,” he said.
The strategic investment and partnership will combine FiinGroup’s expertise in financial data, analytics and market intelligence with Goline’s capabilities in financial technology, systems development and AI. The collaboration aims to deliver more integrated solutions for financial institutions, enterprises and investors.
