    Midea Group’s dispute resolution legal team, in alignment with the company’s overarching business strategy, works closely with the group's audit and anti-fraud team, as well as the legal and risk control teams of its subsidiaries, to effectively address 22 criminal cases involving anti-bribery and anti-corruption. Through these efforts, criminal enforcement measures were successfully implemented against 33 internal and 12 external individuals, resulting in 49 convictions.

    While handling cases involving occupational embezzlement and fraud by dispatched employees, the team identified vulnerabilities in the management of these employees and internal platform accounts. Timely recommendations for rectification were provided, leading to systematic improvements in internal management and enhancing the company’s risk prevention capabilities.

    The team also summarised lessons learned from handling overseas criminal disputes and developed internal training materials titled “How to Build a Corporate System for Handling Overseas Criminal Disputes”. These materials were introduced and promoted within the company through training sessions, standardising practices and establishing them as a reference for employees’ overseas conduct guidelines. These efforts not only strengthened the company’s compliance in overseas operations but also provided clear behavioural guidance for employees.

    In 2020, the team supported China Yangtze Power in the successful issuance of global depositary receipts. From 2019 to 2025, it led and completed major projects, including the acquisition of the Luz del Sur project in Peru, as well as the Arrow photovoltaic project, the Sapphire wind power project and the Coral wind power project in Peru, with a total transaction value of up to USD7.02 billion.

    Since 2023, Peru’s antitrust authority, INDECOPI, has intensified its scrutiny, particularly of enterprises affiliated with central state-owned enterprises. The department presented rigorous arguments based on private international law, as well as Chinese laws and regulations governing listed company supervision, state-owned asset oversight and SOE reform. All three projects ultimately obtained antitrust approval, demonstrating China Yangtze Power’s strong capabilities in antitrust review.

Through co-ordinated patent administrative actions, criminal enforcement and platform governance measures, the team significantly improved market order while transforming IP protection from a traditional defensive function into a strategic tool for brand capitalisation.

    In dispute resolution and contract management, the team adopted a commercially driven and results-oriented approach. Through proactive risk control, structured negotiations and precise litigation strategies, it effectively handled a wide range of commercial disputes and complex contractual matters. Over the past year, the team not only prevented potential losses amounting to tens of millions of renminbi but also achieved substantial financial recoveries and value preservation for the company, further advancing the legal department’s transformation from a cost centre into a value-generating function.

    In compliance management, the team established a full-cycle governance framework covering labour and employment, data security, retail operations and marketing activities. Through routine inspections, targeted audits and tailored compliance training, it has continuously strengthened compliance awareness and execution capabilities across business units while significantly reducing regulatory risks and ensuring operational stability.

    The team further enhanced business ethics and anti-corruption governance through strengthened whistleblowing mechanisms, internal audits and compliance reviews in high-risk business areas, achieving zero major commercial corruption incidents throughout the year.
