Introduction

Li Ying graduated from Peking University (Bachelor’s and Master’s degrees) and Harvard Law School (JD), and is a partner at Anli Partners. Having been based in New York, Hong Kong and Beijing for 30 years in leading international and PRC law firms including Proskauer, Heller Ehrman (Venture Law Group), Jones Day, and Allen & Overy, Ying has built a practice focusing on private equity, cross-border M&A, foreign public and private financing, and outbound investments of PRC enterprises. He covers a wide variety of industries such as banking and finance, TMT, medical, entertainment, hospitality, infrastructure, natural resources and energy. He has spearheaded numerous influential and structurally complex transactions within the industries, and provides longstanding legal services to renowned domestic and international corporations and institutions, with a clientele that extends globally.

Ying regularly counsels multinational companies and financial institutions on entering the China market. He structures complex and innovative investments and acquisitions in China involving joint ventures, wholly foreign-owned enterprises, holding companies, partnerships, licensing and other creative vehicles, and he advises clients on regulatory, compliance, foreign exchange and financial issues.

Additionally, Ying frequently advises international GPs and LPs on setting up, participating in, and restructuring PRC-focused investment funds (including forefront and innovative PRC-domiciled RMB funds, like QFLP funds) and provides guidance on their fund investments in China. He also represents PRC companies in their onshore and offshore investment structuring, incorporation, financing, restructuring and exits, throughout the whole lifecycle.

Formerly a law professor at a leading law school in Beijing, and a Ford Foundation visiting scholar at Harvard Law School, Ying is a frequent speaker on legal and regulatory developments related to M&A, corporate finance and private equity (including QFLP and QDLP funds) in China, and is quoted extensively by the international and Chinese press. Ying has been recognised by Legalband; The Legal 500 Asia Pacific; Chambers; China Business Law Journal; Legal Vision; and IFLR1000, with clients describing him as “responsible” and “knowledgeable”.
