Lindsay Gao

Introduction

Lindsay Gao is the founding member of the Hong Kong office of Merits & Tree Law Offices. Prior to joining Merits & Tree, Gao practised in several well-known red circle, magic circle and white-shoe firms for more than 10 years. She has extensive experience in international capital markets, cross-border financing and M&A deals.

Gao has made notable achievements in equity capital markets, having assisted more than a dozen PRC companies in their overseas IPOs. The total proceeds raised by projects that she led or participated in, including listings on the main board of the Stock Exchange of Hong Kong and the global offerings under rule 144A and/or regulation S of the US Securities Act, have exceeded HKD60 billion (USD7.7 billion), and cover sectors that include TMT (technology, media and telecoms), medical and healthcare, finance, education, recreation and entertainment, real estate, machinery manufacturing, and minerals and energy. Gao has also represented debt capital markets clients in their public or private US dollar bond issuances. Gao has been drafting prospectuses and offering memorandums for more than 10 years, and has been highly applauded for her thorough understanding of clients’ businesses and perfectionism in achieving their expectations.

The deals Gao has represented, as international counsel for either issuers or sponsors and underwriters, include the red-chip listings of Gaush Meditech, Howkingtech International Holding, Strawbear Entertainment Group, Zhongliang Holdings Group Company, China Gingko Education Group Company, Dafa Properties Group, Zhenro Properties Group, China YuHua Education Corporation, China Logistics Property Holdings, and Hengshi Mining Investments; and the H-share listings of Sichuan Languang Justbon Services Group, Guangzhou Rural Commercial Bank, China Energy Engineering Corporation, China Railway Signal & Communication (Group) Corporation, China Galaxy Securities, Zhengzhou Coal Mining Machinery Group, and Inner Mongolia Yitai Coal.

Gao obtained her JD and LLM degrees from Washington University in St Louis, in the US, and her undergraduate study in law from Jilin University. She has been admitted to practise in the State of New York and as a registered foreign lawyer in Hong Kong.
