Liu Yan

Introduction

Liu Yan joined Tian Yuan Law Firm in 1995 and became a partner in early 2002. She received her LLB and LLM from Peking University Law School and another LLM from the New York University School of Law, and is admitted to practise law in both China and New York. She served as a member of the 13th, 14th and 15th Main Board Issuance Examination Committees of the China Securities Regulatory Commission from 2011 to 2014. From 2015 to 2018, she served as a member of the Listing Committee of the Shenzhen Stock Exchange. Liu has advised on numerous industry-influential deals and transactions including domestic and overseas IPOs, M&A and restructuring of listed companies, refinancing, and bonds issuance at home and abroad. Representative deals include CanSino Biologics’ listing on the Star Market (the first A- and H-share vaccine stock), Beijing CTJ Information Technology’s listing on the Growth Enterprise Market (GEM), Qingdao Baheal Medical’s listing on the GEM, Ming Yang Smart Energy’s A-share IPO and global depositary receipts overseas listing, Dalian Wanda Commercial Properties’ Hong Kong IPO and privatisation project, FAW Xiali’s RMB12.1 billion (USD1.7 billion) major assets restructuring, Wanda Films’ RMB10.5 billion major assets restructuring, Sinomach Automobile’s RMB3.1 billion major assets restructuring, Wanda Films’ private placement, Yili Industrial Group’s private placement and Taiji Shares’ convertible bonds issuance. Liu is the co-author of The Legal Practice of Public Offerings and the Listing of Shares in China, published by the Legal Publishing House of China in 2004, and was invited to author Explanation on the Regulations on Buy-back of Publicly Traded Shares by Listed Companies, which was published by China Securities Newspaper in 2005.
