Introduction

Xiao Yi is a partner at Haiwen & Partners, focusing on domestic and overseas securities offerings, M&A and PE investments. Xiao joined Haiwen in 2011, after three years of practice at another prestigious law firm.

Xiao possesses extensive expertise in domestic and overseas securities offerings. Her representative domestic IPO issuers include Air China Cargo, BMC Medical, Anlogic, China International Capital Corporation (CICC), Postal Savings Bank of China (PSBC), Xi’an Bank, Yusys Technologies and Beingmate. Her representative Hong Kong or US IPO issuers include Geek+, China Tourism Group Duty Free, Jiujiang Bank, PSBC, CICC, Bank of Qingdao, Bank of Jinzhou, Bank of Chongqing, Sany Heavy Equipment, Dah Chong Hong Holdings and Rise Education. Xiao has also been extensively involved in refinancing transactions by listed companies through equity or debt offerings, including Lenovo Group’s USD2 billion privately placed convertible bonds and warrants in 2025, Fuyao Glass’ H-share placement in 2021, and PSBC’s offshore preferred share issuance in 2017.

Xiao has extensive experience in M&A and restructuring of listed companies. Her notable transactions include Beijing State-Owned Assets Management’s restructuring to establish Beijing Data Group involving acquisitions of its A-share and H-share listed subsidiaries, CITIC Securities International’s disposal of a 40% stake in Hong Kong-listed CLSA Premium, China Development Bank Capital’s sale of a 29.9% stake in Hong Kong red-chip-listed China New Town, CICC’s asset and business restructuring with its subsidiary CICC Wealth Management, the merger of COSCO Group and China Shipping Group into China COSCO Shipping Group involving major asset restructuring of their listed subsidiaries, the merger of CSR Corporation and CNR Corporation into CRRC Corporation, and advising Qatar Airways on increasing its stake in China Southern Airlines by 5% through the secondary market.

Xiao also regularly represents strategic and financial investors in their acquisitions and minority equity investments.

Xiao obtained her Bachelor of Laws and Bachelor of Economics (dual degree) in 2006, and her Master of Laws in 2008 from Peking University.
