
Introduction
Ethan Jin represents clients in securities and corporate transactions in the Greater China region, including Hong Kong IPOs, pre-IPO private equity investments, investments in corporate governance of HKEX-listed companies, private placements, public and private M&A, and compliance. He advises clients in a wide array of industries and has led the execution of dozens of Hong Kong IPOs, representing both issuers and underwriters.
Jin has played a leading role in numerous high-profile Hong Kong IPOs. His representative work includes advising Pateo Connect Technology (a pioneer in smart cockpit and internet of vehicles solutions) on its Hong Kong IPO; Innogen Pharmaceutical’s IPO; and Breton Technology’s (an electric-powered engineering machinery provider) global IPO.
Beyond capital markets, Jin brings significant expertise in M&A. He acted as Hong Kong legal counsel to PW Medtech in its share exchange with CBPO, and advised Yingde Gases and its second-largest shareholder on transactions involving board restructuring, share placements and a hostile takeover. He also represented Haitong International Securities Group in its capitalisation issue and subsequent offer for sale by its controlling shareholder. His Capital Markets and M&A practices demonstrate his versatility in handling both strategic investments and complex deals across diverse industries.
He also has experience advising on foreign direct investment in China. From 2001 to 2004, Jin practised PRC law in respect of foreign direct investment in China. He is one of the few Hong Kong capital market lawyers who are familiar with the corporate legal practice of both Hong Kong and the Chinese mainland.
