Introduction

Zhao Bing is a senior counsel of the specialised committee at Celue Law Firm and a lawyer at its Shanghai office. He holds a Bachelor of Laws degree from Southwest University of Political Science and Law and a Master of Civil and Commercial Law degree from Nanjing University.

With over 17 years of experience in the legal profession, Zhao career experience includes: a senior equity partner at Yingke Law Firm (Nanjing); independent director qualification from the Shenzhen Stock Exchange in 2016-2017; independent director of Guoheng Railway; director of Haoxin Law Firm (Beijing); adjunct professor in the Law Department of Jiangsu Police Academy; chief legal counsel to the Yizheng Municipal Government of Jiangsu province; special legal counsel for projects at Nanjing University of Technology; special legal counsel for projects at Zhuhai Meizu Technology; special legal counsel for the restructuring project of Ansteel Group Corporation; a member of the Corporate Law Committee of the Jiangsu Provincial Lawyers Association; and a member of the Securities Law Committee of the Jiangsu Provincial Lawyers Association, among others.

Since beginning his practice, Zhao has served as defence counsel in cases involving the manipulation of Hengxin Oriental’s stock; administrative penalty appeals in insider trading cases involving Dianlian Technology; manipulation of Taimus’ stock; and insider trading cases involving Hengrun Shares, among others. In the above-mentioned cases, during the administrative hearing and appeal stages, regulatory agencies proactively reduced fines and confiscations by more than half; in the criminal field, they achieved positive results such as not prosecuting, not approving arrests, granting suspended sentences, “reimbursement of actual expenses”, and imposing the lowest possible sentence. Furthermore, they provided legal services in the first case where the listed company, Zhuhai Boyuan, was delisted due to violations of disclosure regulations and failure to disclose important information. In the case of Tongjitang’s false statement claims arising from its information disclosure violations, Zhao’s team represented shareholders in suing Tongjitang and its senior executives. In the subsequent criminal cases following the *ST Xinyi information disclosure violation case, his team provided legal services. Some of these cases were among the 20 typical violations investigated by the China Securities Regulatory Commission in 2022.
