Introduction

Prem Rajani is the founding partner of Rajani Associates with a valued experience of more than 32 years. Having cleared his LLB examination from the Government Law College, Mumbai, in May 1990, Prem went on to pass the solicitors examination conducted by the Bombay Incorporated Law Society in March 1992 and the solicitors examination conducted by the Law Society, London, in April 1994.

Prem has been fortunate to see his career evolve with the evolution of Foreign Exchange Laws and Securities Laws in India. He has been lucky to study and practice FERA along with FDI policy as soon as the same was introduced in India in 1991, and also see the advent of FEMA and its evolvement. Simultaneously, he received exposure and experience in the SEBI Act & Regulations as soon as the SEBI Act was introduced in 1992 and he also witnessed the introduction of various regulations from time to time. Along with the gradual opening up of various sectors, Prem continued to gain knowledge with respect to each sector, including telecoms, power and aviation, in continuation of the usual traditional key manufacturing and service sectors.

Although he created a niche for the corporate practice, Prem has had a fair share of experience in both the specialised fields of conveyance and litigation. This diverse expertise of Prem, across various practice areas of law, has helped him evolve into the complete lawyer he is today.

Having said that, what Prem enjoys the most today is structuring and mergers & acquisitions. In the past eight years, Prem has been actively advising HNIs and business houses in the formation of private family trusts, which is now gaining momentum in India.

While the firm renders services across the spectrum of legal services, including, capital markets, PE, M&A, banking & finance, real estate & trust, litigation & arbitration, project & project finance, etc., personally Prem is involved with work and keeps periodical updates on the following topics:
• Companies Act and other corporate laws
• SEBI including IPO, takeovers, insider trading, listing agreement
• FEMA (FDI and ODI policy), including, PMLA
• M&A and private equity.
