Introduction
Yasuyuki Kuribayashi is one of the founding partners of City-Yuwa Partners and a member of the management committee. He has extensive experience in capital markets, banking, finance, investment funds, strategic partnerships and commercial arrangements. He has advised major banks, securities lending companies and a leading rating agency on bond issuances, including ESG bonds, securities lending transactions and structured finance matters. His practice also includes advising on international joint ventures, licensing and franchising.
Prior to establishing City-Yuwa Partners in 2003, he gained international experience working at Coudert Brothers in New York and Tokyo.
Kuribayashi has been ranked as Leading Lawyer in the areas of capital markets/debts and capital markets/structured finance and securitisation (2021-) by IFLR1000, and has been recommended in banking and finance (2019) and investment funds (2019-2020) by Legal 500 Asia Pacific. He was ranked as Leading Lawyer in investment funds (2014-2018) by Asialaw Leading Lawyers and was also chosen among The Best Lawyers in Japan (2024-) in investment funds.
He has served as a supervisory officer for J-REITs, and also was an adjunct lecturer in finance and financial services, as well as lecturing in securitisation, at University of Tsukuba Law School (2014-2024).
He is admitted to practice in Japan and New York, and holds degrees from Osaka University and the University of Pennsylvania.
Experience
Kuribayashi has represented a major Japanese bank in its London Stock Exchange listing as well as its TLAC qualified Euro MTN programme on various regulatory issues, including updates, issuance of senior notes, green bonds and social bonds under the programme, as well as the listing of senior notes on Taiwan’s TPEx.
He has represented a major Japanese bank in establishing and updating a non-underwritten debt issuance programme and euro-commercial paper programme by its foreign branches.
Kuribayashi has represented offshore investment funds and hedge funds as well as investment managers on fund formations, marketing, public offerings of beneficial interest securities in Japan, and ongoing compliance matters, including FSA filings and the large shareholding report filings.
He has also advised major Japanese securities lending companies in their securities lending and repo transactions, including GMLA and GMSLA.
