Hilda Chan advises clients on a diverse range of corporate law matters with a special focus on debt and equity securities offerings, mergers and acquisitions, corporate finance transactions, as well as cybersecurity and data privacy issues.

Chan’s practice focuses on capital markets, corporate finance and M&A transactions. She represents issuers and underwriters in public and private equity and debt securities transactions, international private placements as well as debt capital markets transactions, liability management and debt restructuring. Beyond her involvement in capital markets, she also represents and advises lenders and borrowers on corporate banking and finance transactions; buyers and sellers in mergers and acquisitions; companies, founders and investors on private equity investments, as well as general corporate matters. Chan is adept at analysing complex business structures, negotiating agreements and ensuring a smooth execution of transactions for her clients. She provides guidance on corporate governance, regulatory compliance and other matters offering clients comprehensive solutions to a wide range of legal challenges that businesses may encounter.

In the constantly changing digital world, Chan also regularly advises companies on cybersecurity and data privacy issues. She assists companies in understanding and complying with applicable regulations, mitigating risks and implementing effective privacy policies. Her proactive and pragmatic approach to cybersecurity helps her clients safeguard sensitive information and navigate complexities in the evolving business and legal environment.

Chan’s track record includes the representation of several companies such as Guangzhou R&F Properties in the sale of its stake in the Guangzhou International Airport R&F Integrated Logistics Park valued at approximately USD1 billion to Blackstone; Powerlong Real Estate Holdings Limited on multiple US dollar- and yuan-denominated high-yield bond offerings, on offers to purchase its outstanding senior notes, consent solicitations to amend terms of its outstanding senior notes, and as borrower on multiple secured loan facilities; the Coca-Cola Company with respect to the complex reorganisation of Coca-Cola Bottlers Manufacturing Holdings in mainland China; and a number of other major capital markets and M&A transactions.
