He assisted Tencent Holdings and its subsidiary, China Literature, in the exchange of their shares in Ookbee U, one of Thailand’s largest social medial platform operations for user-generated content, to be the largest shareholder. He represented Funding Societies and its local Thai subsidiary, FS Siam, in obtaining a licence to act as a crowdfunding portal operator. He advised Tate & Lyle on its acquisition of 85% of Chaodee Modified Starch, represented G Steel on its debt restructuring arrangements, and also advised Italian-Thai Development in respect of the elevated high-speed rail link to U-Tapao Airport.

James Bradley is a partner at Hunton Andrews Kurth. He focuses on electric power and commercial real estate projects in Southeast Asia.

He has had involvement with projects throughout Southeast Asia, including significantly in Thailand, the Philippines, Cambodia, Indonesia, Laos, Myanmar, and Vietnam. He has assisted sponsors and owners with major complex agreements and their administration through development, offtake, financing, engineering, procurement and construction (EPC), operation and maintenance (O&M), and supply. He has significant experience with M&A, including effective due diligence review and reporting on risk allocations and mitigants. He also has significant experience with commercial agreements for joint venture formation, development, financing, construction and operation for commercial office and hotel assets.

He has been practising in Asia since 2000. He joined Hunton & Williams (now Hunton Andrews Kurth after the 2018 merger with Andrews Kurth Kenyon) as an associate in 1994 before moving to Bangkok when the opportunity to do international cross-border work out of that city arose. He has been lead project counsel for the firm to the highly regarded Quezon Power (Philippines) since 2001 and worked with the manager on contracts and contract administration for the development, construction, and operation of the San Buenaventura Power 460MW supercritical plant on Luzon Island, which achieved commercial operation in 2019.

Recent work includes the following.

  • Development including preparation of a full suite of EPC and O&M arrangements for a major project to be situated in Laos;
  • 77-storey multi-use hotel, residential, and commercial tower project in Bangkok, Thailand regarding equity and debt positions for construction completion;
  • 460MW supercritical coal-fired power plant in Quezon Province, the Philippines, during development through operation;
  • 100MW and 150MW power plants in Cambodia, regarding power purchase, concession, EPC, and O&M arrangements; and
  • 63MW AC solar photovoltaic facility in Lop Buri, Thailand, regarding power purchase, EPC, and O&M arrangements.

She has advised and assisted private equity funds, property funds, foreign investors, government entities, listed companies, well-known property developers, and world recognised global companies in many high-profile and cross-border deals. She has led many successful high-net-worth M&A project deals both on the seller and buyer sides and occasionally acted for both at the same time (with a waiver of conflict of interests from both sides), as well as joint venture projects. Thus she has ample experience in structuring the deals, taking into consideration any tax implication and tax planning, as well as negotiating and executing M&A and joint venture agreements. Her advice is not just limited to legal advice but also business advice since she has come across many business deals for the past years of her work.

Other than that, Palawi participated in the very first conversion of the property fund to REIT in Thailand. She has also done a few conversions from limited companies to public limited companies and assisted in listing their ordinary shares on the Stock Exchange of Thailand or the Market for Alternative Investment.

Currently, Palawi is working on a few fintech projects, one of which is the initial coin offering (ICO) portal, especially for real estate-backed ICO that has already been approved by the Securities and Exchange Commission, Thailand (SEC) and other digital asset businesses. She has been working closely with the SEC in designing the ecosystem of real estate-backed ICO laws, which have recently been enacted into laws. She recently wrote a few articles for Asia Business Law Journal on the digital asset business laws in Thailand.

Palawi sits on the board of a Thai public-listed company as an independent director. Palawi is also a guest lecturer at the law faculty of Thammasart University (International Programme).

Recent case highlights:

  • Advising the unit owners and juristic person of Ashton Asoke on the potential or contingent risk of impact on the right over the properties following the judgment of the Central Administrative Court to set aside all governmental authorisations with respect to the construction of Ashton Asoke Condominium Project (the value of the project is around THB6.5 billion), which is considered one the most impact to the consumers in Thailand.
  • Advising and representing the River Condominium juristic person in a series of complaints against the developer in connection with the transfer or handover of the common properties, construction drawings together with the rescission of the transactions entered into between the developer and third parties for a claim amount of THB1.4 billion.
  • Advising a Thai company in connection with a water supply concession dispute with a local administrative office for more than THB500 million damages.
  • Advising SEB Kort Bank and Diners Club Nordic in connection with business rehabilitation proceedings under Thai bankruptcy law of Thai Airways.

He advises on a wide range of M&A transactions, joint ventures, foreign direct investments, general corporate, international corporate finance, and restructurings. His expertise is advising, structuring and leading complex transactions both within and outside of Thailand. He regularly represents, among others, Thai and international investors, international investment banks, international private equity investors, hedge funds and international corporations and financial institutions.

His main areas of practice include public and private M&A (takeover rules), legal due diligence, joint ventures, fundraising, listings, block trades, stock exchange and securities exchange related laws, restructuring of shareholdings and general corporate advice. His additional practice areas also cover banking and finance, capital markets, renewable energy, exchange control law, labour law, and debt restructurings. Before setting up the Bangkok office of Nishimura & Asahi in 2013, he worked with Linklaters for almost a decade.

Jirapong Sriwat obtained LLB with Honors from Thammasat University in 2004 and obtained LLM in corporate and securities laws with high merits from the London School of Economics in 2009.

He is also registered as an arbitrator of the Thai Arbitration Institute (TAI) with areas of expertise in corporate M&A, joint venture, banking and finance, capital markets, debt restructurings and energy.
